Terms of Service

1. About these Terms

These Terms of Service ("Terms") govern your access to and use of the SharpAnswer website, applications, and services (together, the "Service"). The Service is operated by EasyComp, Inc., a Delaware corporation ("EasyComp," "we," "us," or "our"). "SharpAnswer" is a brand and product of EasyComp, Inc.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and your account

You must be at least 18 years old to use the Service. By creating an account you represent that you meet this requirement and that any information you provide is accurate and complete.

You are responsible for all activity that occurs under your account and for keeping your login credentials confidential. Notify us promptly at security@sharpanswer.com if you suspect unauthorized use.

3. The Service

SharpAnswer provides practice tools and AI-assisted feedback for business communication — including meetings, presentations, interviews, and everyday workplace conversations. The Service may include exercises, templates, uploads of your own material, and AI-generated feedback and suggestions.

We work hard to make the Service useful, but we do not guarantee any specific professional, interview, or business outcome. Your results depend on how you use the Service and on many factors outside our control.

4. Free features and AI credits

The Service offers two types of access:

Free features. You can use core practice tools — including vocabulary exercises, templates, uploads, written practice, and progress tracking — without paying.
AI practice credits. AI-powered features (including, but not limited to, spoken-answer analysis, personalized question generation, delivery scoring, and on-demand rewrites) consume credits. Credits are sold at the rate of $10 USD for 100 credits, in multiples of $10. Credits are non-refundable once purchased, except as required by law, and are non-transferable. Credits do not expire, but we may discontinue or change the credit system with reasonable notice.

Prices, credit rates, and credit consumption per feature may change. We will give reasonable advance notice (for example, by email or in-app notice) of any material change. Changes will not affect credits you have already purchased.

5. Payment

Payments are processed by our third-party payment processor. By providing payment information, you authorize us (and our processor) to charge the applicable amount, taxes, and any related fees. You are responsible for keeping your payment information accurate.

All charges are in U.S. dollars unless stated otherwise. Credits are a prepayment for access to AI features and are not a currency, security, or stored value for any other purpose.

6. Refunds

Except where required by applicable law, purchases of credits are final and non-refundable once the purchase is complete. If you believe you were charged in error, contact us at billing@sharpanswer.com within 30 days of the charge and we will review your request in good faith.

7. Your content

You may upload scripts, slides, notes, audio recordings, job descriptions, and other material ("Your Content") to the Service. You retain all ownership rights in Your Content.

By uploading Your Content, you grant EasyComp a worldwide, non-exclusive, royalty-free license to host, store, process, display, and otherwise use Your Content solely as necessary to operate, provide, improve, and secure the Service for you. We will not sell Your Content, and we will not use Your Content to train general-purpose AI models for third parties without your explicit consent.

You represent and warrant that (a) you have all rights needed to grant this license, and (b) Your Content does not violate any law or third-party right.

8. AI-generated feedback

AI features of the Service produce suggestions, scores, and other outputs ("AI Output") based on inputs you provide. AI Output may be inaccurate, incomplete, or inappropriate for your context. You are solely responsible for how you use AI Output. Do not rely on AI Output as professional, legal, medical, financial, or employment advice.

9. Acceptable use

You agree not to:

Use the Service for any unlawful, harmful, or deceptive purpose;
Upload material you do not have the right to share, including confidential information of others and material protected by intellectual property rights you do not hold or have permission to use;
Attempt to reverse engineer, decompile, scrape, or circumvent any technical limitations of the Service;
Interfere with or disrupt the Service, servers, or networks connected to the Service;
Share your account credentials or allow another person to use your account;
Use the Service to generate content that harasses, defames, impersonates, or discriminates against any person;
Resell, sublicense, or offer the Service as a service to third parties without our written permission.

10. Our intellectual property

The Service, including software, designs, trademarks (including "SharpAnswer" and "EasyComp"), logos, exercises, templates, and documentation, is owned by EasyComp, Inc. or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial communication practice, subject to these Terms.

11. Third-party services

The Service may rely on or integrate with third-party services (for example, payment processors, cloud providers, and AI model providers). Your use of those services may be subject to their own terms. We are not responsible for third-party services beyond our reasonable control.

12. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends. Credits are forfeited only if your account is terminated for cause (such as material or repeated violations of these Terms); otherwise unused credits remain available as described in Section 4.

13. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI OUTPUT WILL BE ACCURATE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYCOMP, INC. AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to defend, indemnify, and hold harmless EasyComp, Inc. and its officers, employees, and affiliates from any claims, damages, liabilities, and costs (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your use of the Service in violation of law or third-party rights, or (c) Your Content.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The parties will attempt in good faith to resolve any dispute informally before pursuing formal action. Any disputes that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction there.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will give reasonable notice (for example, by posting the updated Terms with a new "Last updated" date, or by notifying you in-app or by email). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of them.

18. Miscellaneous

These Terms are the entire agreement between you and EasyComp regarding the Service and supersede any prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
